This position is listed on behalf of a partner company, who manages all applications and next steps. Our partner is looking for an Associate General Counsel based in United States.
This is a rare opportunity to build and lead an in-house legal function from the ground up within a rapidly growing healthcare organization. You will serve as the company-wide legal leader, reporting directly to the CEO and advising senior leadership and the board. Your scope will span corporate governance, healthcare regulation, value-based care contracting, privacy, employment, AI governance, and strategic transactions. You will help establish the legal infrastructure needed to expand a multi-state care model and enter new markets confidently. The role combines hands-on legal work with strategic leadership, requiring strong judgment and a pragmatic, business-enabling mindset. You will have significant influence over how legal risk is managed and how scalable processes are built for future growth.
- Serve as the company-wide general counsel, advising on corporate governance, board matters, entity formation and maintenance, equity administration, M&A support, commercial contracting, and other corporate legal matters.
- Lead corporate practice of medicine (CPOM) analysis across multiple states, advising on ownership, governance, management structures, and MSO/PC arrangements for provider-based entities and new market launches.
- Support payer and value-based care contracting from letters of intent through execution, including delegation agreements, credentialing provisions, data use terms, and related commercial arrangements.
- Lead the resolution of payer disputes, including reconciliation disagreements and contractual disputes, while coordinating litigation strategy with external counsel when necessary.
- Select, manage, and oversee outside counsel across regulatory, litigation, M&A, employment, and other specialty areas, ensuring appropriate coverage, quality, and cost management.
- Advise on healthcare fraud and abuse risks under the Stark Law, Anti-Kickback Statute, and False Claims Act, particularly in connection with referral relationships, compensation structures, and MSO fee arrangements.
- Advise on multi-state healthcare requirements, including licensure, scope of practice, telehealth, fee-splitting, and corporate practice rules as the organization enters new markets.
- Partner with clinical and operational leaders on compliance matters, staffing models, supervision arrangements, and delegation structures while serving as the legal subject-matter expert.
- Own the data privacy and security legal framework, including HIPAA and state-specific health data privacy requirements.
- Partner with Data and Product teams to develop AI governance frameworks covering model risk, data provenance, clinical decision-support liability, and emerging healthcare AI regulations.
- Review and negotiate AI vendor agreements and internal AI tooling from privacy, intellectual property, and liability perspectives.
- Negotiate vendor, technology, SaaS, partnership, licensing, and real estate agreements while establishing scalable contracting templates, approval workflows, and signature authority processes.
- Manage multi-state employment law matters for a distributed clinical workforce, including policy compliance, investigations, terminations, and litigation risk.
- Oversee corporate insurance programs, including malpractice and tail coverage, credentialing-related liability, renewals, and incident-response coordination.
- Manage intellectual property protection and assignment, while establishing repeatable legal processes that support growth and future financing or strategic transactions.
- Provide ongoing legal and regulatory risk updates to executive leadership and the board and recommend future legal hiring as business needs evolve.
Requirements:
- 10+ years of legal experience within healthtech or healthcare, with a JD and admission to a U.S. bar.
- Substantial experience in corporate law, with a strong track record negotiating and structuring value-based care arrangements with health plans.
- Deep, hands-on knowledge of corporate practice of medicine, healthcare fraud and abuse laws including Stark, Anti-Kickback Statute, and False Claims Act, and MSO/PC structures across multiple states.
- Working knowledge of HIPAA and state privacy laws, with the ability to advise on emerging AI governance, privacy, and liability issues.
- Experience handling multi-state employment law matters, ideally supporting a distributed or clinical workforce.
- Prior experience as an Associate General Counsel, senior deputy, or comparable senior in-house legal role with broad responsibility across governance, M&A, commercial, regulatory, and employment matters.
- Demonstrated ability to build legal processes, infrastructure, contracting playbooks, risk frameworks, and scalable operating procedures from the ground up.
- Strong judgment regarding when legal work should be handled internally versus through specialized outside counsel.
- Excellent communication and stakeholder management skills, with the ability to advise executives and boards clearly and pragmatically.
- Low-ego, collaborative approach and a strong bias toward practical, business-enabling solutions in a fast-moving environment.

- Base compensation of $225,000–$260,000 USD annually, depending on experience.
