Commercial Counsel

This position is listed on behalf of a partner company, who manages all applications and next steps. Our partner is looking for a Commercial Counsel based in United States.

This role offers an exciting opportunity for an experienced attorney to support a growing commercial legal function within a fast-paced technology environment.
You will play a key role in enabling business growth by drafting, reviewing, and negotiating complex commercial agreements.
The position involves close collaboration with sales, product, finance, operations, security, and other teams to provide practical legal guidance.
You will help balance business objectives with risk management while improving contract processes and legal operations.
This role is ideal for a commercially minded legal professional who enjoys solving problems, managing negotiations, and partnering with stakeholders.
Working within a collaborative legal team, you will gain broad exposure to technology, healthcare, AI, and data privacy-related matters.

Accountabilities:
  • Support commercial contracting activities by drafting, reviewing, and negotiating a high volume of agreements, including SaaS agreements, master service agreements, statements of work, NDAs, business associate agreements, licensing agreements, marketing agreements, and other commercial contracts.
  • Serve as a trusted legal advisor to sales teams and cross-functional partners by providing practical, business-oriented guidance that supports growth while managing legal risks.
  • Independently manage routine and moderately complex contract negotiations, escalating higher-risk matters when appropriate.
  • Partner with legal team members to maintain consistent contract positions, negotiation strategies, templates, and playbooks.
  • Improve commercial legal processes, resources, and workflows to increase efficiency, consistency, and scalability.
  • Support contractual matters related to data privacy, artificial intelligence, technology solutions, and other emerging areas.
  • Identify potential legal risks and provide recommendations that align with business priorities.
  • Stay informed on legal developments impacting commercial agreements, technology, AI, privacy, and healthcare-related regulations.
  • Collaborate with stakeholders across sales, product, finance, operations, security, and other business functions to address day-to-day legal needs.
  • Contribute to special legal projects and support the continued growth and maturity of the legal organization.
Requirements:
  • Juris Doctor (J.D.) degree from an accredited law school and active membership in good standing with at least one U.S. state bar.
  • 5+ years of legal experience with significant exposure to drafting, reviewing, and negotiating commercial contracts.
  • Prior in-house legal experience or experience supporting technology companies is strongly preferred.
  • Strong expertise with commercial agreements, including SaaS, customer, vendor, licensing, and technology-related contracts.
  • Experience managing a high volume of contract work while balancing business objectives and legal risk.
  • Excellent written and verbal communication skills with the ability to provide clear and practical legal guidance.
  • Strong negotiation, analytical, and problem-solving abilities.
  • Experience partnering with sales teams and other cross-functional business stakeholders.
  • Collaborative and proactive mindset with the ability to work independently and contribute to a growing legal function.
  • Strong organizational skills with the ability to manage multiple priorities in a fast-paced environment.
  • Experience in healthcare, health technology, data privacy, or AI-related legal matters is a plus.
