Corporate Counsel, Executive Compensation & Corporate Governance

This position is posted by Jobgether on behalf of a partner company. We are currently looking for a Corporate Counsel, Executive Compensation & Corporate Governance in United States.

This role provides legal expertise across executive compensation, employee benefits, and corporate governance within a public company environment. You will advise senior leadership and HR on equity programs, retirement plans, and executive pay structures. The position combines strategic advisory responsibilities with regulatory execution. You will ensure compliance across ERISA, tax, and securities frameworks. The role involves close collaboration with cross-functional teams including Finance and HR. You will also support public disclosures and governance reporting requirements.

Accountabilities:
  • Advise on executive compensation, equity plans, and employee benefits programs
  • Support design and governance of retirement, welfare, and deferred compensation plans
  • Ensure compliance with ERISA, IRC, ACA, HIPAA, COBRA, and securities laws
  • Manage proxy disclosures, shareholder communications, and Section 16 filings
  • Support insider trading compliance and Rule 10b5-1 plan administration
  • Collaborate with HR, Finance, Tax, Payroll, and Treasury teams
  • Support M&A transactions related to compensation and benefits
  • Supervise paralegal support for subsidiary governance

Requirements:

  • Juris Doctor degree with active bar admission
  • 8+ years of relevant legal experience
  • Experience in executive compensation, benefits, or corporate governance
  • Background in advising public companies preferred
  • Strong knowledge of ERISA and securities regulations
  • Excellent communication and stakeholder management skills
  • Strong legal judgment and business acumen
  • Ability to manage multiple priorities in a fast-paced environment
  • Experience working in remote and cross-functional teams
