This role sits at the intersection of healthcare innovation and commercial law, supporting a fast-growing healthtech environment that delivers mission-critical solutions to hospitals, health systems, and pharmaceutical organizations. The attorney will play a key role in structuring, drafting, and negotiating complex SaaS and healthcare-related agreements that directly enable the company’s growth and customer success. You will act as a strategic legal partner to business teams, balancing legal risk with practical, business-oriented solutions. The position involves close collaboration across commercial, product, and leadership teams in a dynamic, high-growth environment. You will also contribute to broader strategic initiatives, including M&A and financing support. This is a highly impactful role where legal expertise directly supports healthcare delivery efficiency and patient safety outcomes.

Accountabilities:
  • Draft, review, and negotiate a wide range of commercial agreements, including SaaS contracts, licensing agreements, MSAs, SOWs, vendor agreements, and Business Associate Agreements.
  • Provide legal guidance on contract interpretation, risk assessment, dispute resolution, and compliance matters in a clear, business-focused manner.
  • Partner with cross-functional stakeholders across sales, product, operations, and leadership to support deal execution and business growth.
  • Ensure contracts and legal frameworks align with healthcare regulations, including privacy, data security, and compliance requirements.
  • Assist with legal due diligence and documentation for financing transactions and mergers and acquisitions.
  • Collaborate with and manage external counsel when necessary to support specialized legal matters.
  • Support leadership by tracking and communicating the status of active negotiations and key legal developments.

Requirements:

  • Juris Doctor (J.D.) degree and active license to practice law in at least one U.S. state.
  • 5+ years of experience as a healthcare transactional attorney in a law firm or in-house legal environment.
  • Strong knowledge of healthcare regulatory frameworks, including HIPAA, HITECH, Stark Law, Anti-Kickback Statute, and fraud, waste, and abuse regulations.
  • Experience negotiating SaaS, software licensing, and data-related commercial agreements.
  • Familiarity with Business Associate Agreements and healthcare data privacy/security requirements.
  • Strong drafting, negotiation, and contract structuring skills, with the ability to work independently and manage competing priorities.
  • Business-oriented mindset with the ability to translate legal risks into practical recommendations.
  • Excellent communication and relationship-building skills across technical and non-technical stakeholders.
