This senior legal role operates at the intersection of financial services law, capital markets activity, and complex transactional advisory work within a fast-paced broker-dealer environment. The position plays a critical role in supporting fixed income capital markets operations, advising on sophisticated securities transactions and ensuring compliance with evolving regulatory frameworks. It requires a high degree of autonomy, strong judgment, and the ability to manage high-impact legal matters that influence business strategy and execution. The role partners closely with senior leadership, trading desks, underwriting teams, compliance, and external counsel to structure and negotiate key agreements. It also involves guiding internal stakeholders through regulatory complexity while supporting enterprise risk management and governance. This is a high-responsibility position where legal expertise directly supports business growth, operational integrity, and regulatory soundness.
- Provide legal counsel and strategic guidance to Fixed Income Capital Markets teams on transactional, regulatory, and occasionally litigation-related matters.
- Draft, review, negotiate, and interpret a wide range of agreements, including NDAs, MSFTAs, MSDAs, vendor agreements, and complex securities-related documentation.
- Advise senior management on legal risks, corporate actions, and regulatory implications affecting business operations.
- Manage and oversee outside counsel engagements related to capital markets and broker-dealer activities.
- Collaborate with compliance, risk, supervision, audit, and business teams to enhance policies, controls, and governance frameworks.
- Monitor and interpret evolving securities laws and financial regulations, ensuring organizational alignment and compliance.
- Support the development of legal strategies, presentations, and recommendations for senior leadership.
- Manage a portfolio of legal matters while balancing competing priorities in a fast-paced environment.
- Juris Doctor (JD) from an accredited law school with strong academic credentials.
- 10–15 years of legal experience, including significant exposure to financial services, broker-dealer operations, or capital markets law.
- Active bar membership in any U.S. state.
- Strong expertise in corporate, securities, and regulatory law within financial institutions.
- Demonstrated experience drafting, negotiating, and advising on complex financial and transactional agreements.
- Ability to analyze and interpret complex legal and regulatory frameworks with precision.
- Strong communication skills, with the ability to present legal concepts clearly to senior leadership and cross-functional teams.
- Proven ability to manage multiple priorities in a high-volume, fast-moving environment.
- Strong collaboration skills and ability to work effectively across business, legal, and external stakeholders.
