Responsibilities
- Draft, review, and organize contracts, leases, corporate documents, and investor agreements.
- Support corporate governance processes, including entity formation, dissolutions, and maintenance of corporate records.
- Assist with private placement and securities-related documentation, including investor subscription agreements and disclosure materials.
- Coordinate document execution, notarization, and filing with state and federal agencies.
- Support attorneys with due diligence for acquisitions, financing, and development transactions.
- Maintain legal databases and filing systems to ensure accuracy and accessibility.
- Manage certificates of insurance, contracts, and compliance tracking for vendors and partners.
- Communicate professionally with internal teams (Development, Construction, Accounting, Property Management) and external stakeholders (outside counsel, title companies, lenders, and investors).
- Assist with real estate transactions and ongoing property matters, including reviewing leases, purchase agreements, amendments, and closing documents.
- Maintain real estate files and databases, manage correspondence with internal teams and external parties, and support compliance for multi-property portfolios.
- Maintain confidentiality and handle sensitive information with discretion and professionalism.
- Associate’s or Bachelor’s degree preferred; equivalent experience considered.
- Minimum 5 years of experience as a paralegal supporting corporate, securities, or real estate matters.
- Experience supporting legal matters involving securities law, such as preparing or organizing offering materials, tracking investor documentation, and assisting with compliance filings
- Experience preparing and filing corporate and regulatory documents (e.g., annual reports, registrations, or securities-related filings).
- Excellent written and verbal communication skills.
- High proficiency in Microsoft Office (Word, Excel, Outlook, PowerPoint).
- Proven ability to handle confidential and sensitive information with discretion.
Preferred Qualifications
- Paralegal certification.
- Experience supporting private placement or investment fund documentation.
- Familiarity with contract lifecycle management tools or Docusign.
- Working knowledge of SEC, Blue Sky, or state-level securities compliance requirements.
- Notary Public certification (or willingness to obtain).
- Experience in the real estate development, construction, or property management industry.
Compensation and Benefits for Paralegal:
Pay Range: $33.25 / hr - $44.00 / hr
Compensation is determined by several factors that vary depending on the position, including the individual’s experience, skills, and the knowledge they bring to the specific role.
