Assistant General Counsel (Corporate)

This position is listed on behalf of a partner company, who manages all applications and next steps. Our partner is looking for an Assistant General Counsel (Corporate) based in the United States.

This is a high-impact in-house legal leadership role responsible for owning and scaling the corporate legal function within a fast-growing, technology-driven organization operating at the intersection of AI, data, and global security. You will lead complex M&A transactions, equity financings, and strategic investments while also shaping the governance and compliance infrastructure required to support long-term growth. Acting as a key advisor to executive leadership, you will help accelerate decision-making by bringing legal clarity, speed, and structure to high-stakes business initiatives. This role is not limited to advisory work; it requires hands-on ownership of deal execution and the design of scalable legal systems that reduce friction across the business. You will also help modernize legal operations through AI-driven workflows, enabling faster due diligence and more efficient contract and governance processes. The environment is fast-paced, highly collaborative, and mission-driven, with a strong emphasis on ownership, judgment, and execution at speed.

Accountabilities:

Lead end-to-end execution of M&A transactions, strategic investments, and equity financings, serving as primary deal counsel and driving efficient, high-quality outcomes across all stages of execution.

  • Design and implement scalable corporate governance frameworks, including board processes, equity structures, and multi-entity compliance systems
  • Develop AI-assisted legal workflows to accelerate due diligence, reduce cycle times, and improve efficiency in corporate transactions
  • Partner with executive leadership to provide strategic legal counsel on corporate matters, enabling faster and more informed decision-making
  • Build and maintain legal infrastructure such as templates, playbooks, and self-service tools to reduce reliance on external counsel
  • Oversee multi-entity global compliance obligations and implement systems to proactively identify and manage legal risk
  • Collaborate closely with finance, product, and executive teams to support business growth and strategic initiatives
Requirements:

This role requires a senior corporate legal professional with deep experience in transactional law and a proven ability to operate independently in high-growth environments.

  • 10+ years of corporate legal experience with direct ownership of M&A, equity financings, or strategic investment transactions
  • Active US bar admission and JD from an accredited law school
  • Prior in-house experience at a high-growth technology company is required; BigLaw-only backgrounds are not sufficient
  • Demonstrated ability to independently run complex transactions from structuring through execution and closing
  • Strong drafting and negotiation skills across M&A agreements, financing documents, and governance materials
  • Proven ability to advise executive stakeholders and translate legal complexity into clear business decisions
  • Experience building scalable legal systems, including templates, workflows, and governance frameworks
  • Strong fluency with AI tools and ability to design AI-assisted legal processes as part of daily work
  • Highly pragmatic, execution-oriented mindset with strong judgment in fast-moving environments
