Associate General Counsel, Commercial

This position is listed on behalf of a partner company, who manages all applications and next steps. Our partner is looking for an Associate General Counsel, Commercial based in the United States.

This is a senior legal leadership opportunity supporting a rapidly scaling, AI-driven technology business.
The role will serve as a strategic partner to commercial, marketing, growth, sales, partnerships, product, and finance teams.
You will lead sophisticated transactions spanning marketing, advertising, performance-based agreements, technology, SaaS, licensing, and strategic partnerships.
The position offers significant influence over new revenue models, customer acquisition strategies, and high-priority business initiatives.
You will also help build scalable contracting frameworks, legal processes, templates, and risk-management practices for a high-growth environment.
Success requires strong commercial judgment, exceptional negotiation skills, and the ability to turn complex legal issues into practical business guidance.
This is a high-impact role for an experienced attorney who thrives in ambiguity, moves quickly, and enjoys building legal infrastructure as a business scales globally.

Accountabilities
  • Lead complex commercial transactions, including marketing, advertising, CPA and performance-based agreements, affiliate, media, agency, creator and influencer arrangements, strategic partnerships, SaaS, API, technology licensing, and other strategic agreements.
  • Structure and negotiate performance-based commercial models involving revenue sharing, commissions, attribution, payment mechanics, and other growth-oriented economics.
  • Partner with senior leaders to structure new revenue opportunities and customer acquisition models while balancing commercial objectives, legal risk, and execution speed.
  • Advise executive leadership and cross-functional teams on strategic opportunities, new business models, commercial risks, advertising campaigns, promotions, endorsements, consumer protection, and customer acquisition matters.
  • Counsel product and go-to-market teams on AI, digital media, intellectual property, privacy, data, and emerging commercialization models.
  • Develop scalable contracting processes capable of supporting high volumes of marketing and commercial transactions efficiently.
  • Create and maintain contract templates, negotiation playbooks, approval frameworks, fallback positions, and practical legal guidelines for recurring transaction types.
  • Partner with finance and operations teams to establish appropriate controls around performance-based economics, payments, attribution, reporting, and commercial accountability.
  • Collaborate closely with Marketing, Growth, Sales, Partnerships, Product, Finance, Privacy, Security, and Operations to support strategic initiatives and new markets.
  • Translate complex legal considerations into clear, actionable, and commercially practical recommendations for stakeholders at varying levels of seniority.
  • Monitor developments in digital advertising, consumer protection, privacy, AI, digital media, intellectual property, and other emerging technology areas.
  • Contribute to the development of the commercial legal function by mentoring junior legal professionals and helping establish scalable team practices.
Requirements
  • J.D. from an accredited law school and active membership in at least one U.S. state bar.
  • 10+ years of legal experience, including substantial experience advising sophisticated commercial transactions within high-growth technology, consumer, advertising, digital, or similarly fast-moving businesses.
  • Combination of leading law firm and in-house legal experience is strongly preferred.
  • Significant experience negotiating marketing, advertising, CPA or performance-based, affiliate, media, agency, creator/influencer, or comparable commercial agreements.
  • Strong experience handling technology transactions, including SaaS, APIs, licensing, and strategic partnerships.
  • Solid understanding of digital advertising, consumer protection, intellectual property, privacy, data, and emerging technology matters.
  • Experience supporting AI, consumer technology, digital media, adtech, or other rapidly evolving technology businesses is highly desirable.
  • Exceptional commercial judgment and the ability to provide pragmatic, risk-balanced advice in situations involving ambiguity and competing priorities.
  • Demonstrated ability to develop scalable legal processes and effectively manage significant transaction volumes.
  • Excellent drafting, negotiation, communication, stakeholder management, and strategic advisory skills.
  • Highly collaborative, low-ego, execution-oriented, and comfortable working independently in a fast-paced environment.
  • Strong ability to build trusted relationships with senior executives and cross-functional business leaders.
  • Willingness to travel occasionally to support team meetings, planning sessions, company events, and in-person collaboration.

  • Base Salary: $260,000 – $310,000 USD, depending on experience, skills, scope, and location.
