General Counsel

This position is listed on behalf of a partner company, who manages all applications and next steps. Our partner is looking for a General Counsel based in United States.

This is a pivotal senior legal leadership role at the center of a rapidly scaling, publicly oriented organization operating across multiple industries and states. The General Counsel will serve as the chief legal advisor to the board and executive leadership, shaping both governance and long-term corporate strategy. The role spans public company compliance, legal operations, employment and equity frameworks, and enterprise risk management. You will be responsible for ensuring regulatory integrity while enabling business growth in a complex, multi-entity structure. This is a high-impact position for a leader who thrives at the intersection of law, business strategy, and operational execution. The environment is fast-evolving, requiring both rigor and adaptability as the organization continues its public company journey. You will play a defining role in building scalable legal systems and influencing how the company is governed at scale.

Accountabilities:
  • Act as chief legal advisor to the board of directors and executive leadership, providing strategic counsel on governance, risk, and corporate decision-making across a multi-entity organization.
  • Own all public company legal and compliance obligations, including SEC reporting (10-K, 10-Q, 8-K, proxy statements), SOX compliance, Regulation FD, and insider trading policies.
  • Lead corporate governance activities, including board and committee governance, charter management, D&O insurance oversight, and director independence assessments.
  • Design, build, and continuously improve scalable legal infrastructure, including legal operations, contract management systems, and outside counsel management processes.
  • Oversee employment law, executive agreements, and equity compensation programs, including stock options, RSUs, and 409A valuation processes.
  • Provide strategic legal guidance on financing, transactions, and enterprise risk, ensuring balanced decision-making that supports both compliance and business growth.
  • Serve as a steady advisor during complex or high-risk situations such as regulatory inquiries, shareholder matters, or litigation.
Requirements:
  • 10+ years of legal experience, including significant exposure to public company environments or advising public companies as outside counsel, ideally in an EGC context.
  • Deep expertise in SEC reporting, SOX compliance, corporate governance, and public company legal operations.
  • Proven experience building or scaling legal functions, systems, and governance frameworks in fast-growing or resource-constrained environments.
  • Strong background in employment law, equity compensation structures, executive agreements, and corporate legal matters.
  • Experience across multiple industries, demonstrating strong legal judgment and adaptable problem-solving capabilities.
  • Excellent executive communication and stakeholder management skills, with experience presenting to boards and engaging senior leadership.
  • J.D. from an accredited law school and demonstrated ability to operate as both a strategic advisor and hands-on legal operator.
