The Senior Commercial Counsel will serve as a key legal advisor to commercial teams, managing transactional matters while developing efficient processes that allow the organization to scale. This role requires strong contract negotiation skills, business judgment, and the ability to leverage technology to improve legal operations.
- Act as the primary legal partner for go-to-market teams, managing commercial transactions from initial intake through final signature.
- Draft, review, negotiate, and advise on a wide range of commercial agreements, including SaaS agreements, order forms, data processing agreements, partner agreements, vendor contracts, and NDAs.
- Collaborate with Finance, Security, Product, Engineering, and other stakeholders to evaluate risks and support business objectives.
- Lead negotiations independently while identifying when additional legal or business escalation is required.
- Develop and maintain legal resources, including contract templates, negotiation playbooks, processes, and self-service tools.
- Design and implement AI-enabled workflows, automation solutions, and knowledge management practices to improve contract lifecycle management.
- Identify opportunities to simplify legal processes, reduce operational friction, and improve the overall efficiency of legal support.
- Train and support commercial teams by embedding practical legal guidance into everyday business operations.
- Provide clear, actionable advice that balances legal risk with commercial goals.
- Support additional areas such as privacy, compliance, product counseling, export controls, government contracting, or international business activities as needed.
The ideal candidate is an experienced commercial attorney with strong technology contracting expertise and a passion for building efficient, modern legal operations. They should be comfortable working independently, collaborating across teams, and operating in a fast-paced technology environment.
- Juris Doctor (JD) degree and active bar admission in good standing in at least one U.S. jurisdiction.
- 5+ years of commercial transactional experience, either in-house or at a law firm.
- Significant experience negotiating SaaS, software, technology, and other complex commercial agreements.
- Proven ability to independently manage transactions from negotiation through execution.
- Strong understanding of privacy-related commercial contracting requirements, including DPAs, data processing obligations, and international data transfer considerations.
- Experience supporting technology companies, software businesses, or enterprise customers is preferred.
- Strong legal operations mindset with interest in using AI, automation, and scalable systems to improve legal workflows.
- Excellent written and verbal communication skills with the ability to translate complex legal concepts into practical business guidance.
- Strong judgment and ability to prioritize high-impact legal issues in a dynamic environment.
- Ability to work independently, take ownership, and drive projects forward with limited supervision.
- Strong collaboration skills and the ability to build trusted relationships across multiple business functions.
- Experience counseling Product and Engineering teams, supporting AI products, export controls, government contracts, compliance programs, or international sales teams is a plus.
