The Senior Commercial Counsel will lead complex, high-value enterprise agreements, supporting revenue-generating transactions while mitigating risk. You will work closely with sales, product, and cross-functional teams to structure deals, negotiate contracts, and ensure compliance with privacy, security, and regulatory standards. The role requires a combination of strong legal expertise, commercial judgment, and the ability to operate independently in a dynamic, remote-first global organization. By developing form agreements, negotiation playbooks, and scalable workflows, you will have a direct influence on both business growth and operational efficiency. This is ideal for a seasoned commercial attorney who thrives on challenging negotiations, strategic problem-solving, and building trusted advisor relationships with senior stakeholders.
As Senior Commercial Counsel, you will:
- Lead negotiation and execution of complex, high-value enterprise B2B agreements, including SaaS and on-premises licenses, data processing agreements (GDPR, CCPA), HIPAA business associate agreements, professional services agreements, channel partner agreements, and other commercial contracts.
- Act as a strategic partner to sales and business leaders, providing guidance on deal structuring, risk assessment, and negotiation strategy to accelerate revenue.
- Collaborate with cross-functional teams (finance, product, security, support) to address complex commercial and operational issues and support new go-to-market models.
- Develop and improve standard form agreements, negotiation playbooks, and workflows to ensure consistency, efficiency, and scalability in legal operations.
- Support global expansion initiatives, including privacy-by-design, security-by-design, and compliance programs.
- Provide pragmatic, business-oriented legal advice that balances risk with commercial objectives and drives deals to timely closure.
Candidates should bring:
- JD or equivalent U.S. law degree and active bar membership in at least one U.S. jurisdiction.
- 8+ years of commercial legal experience, ideally in technology or SaaS companies, with demonstrated ability to lead complex enterprise negotiations independently.
- Strong commercial acumen with experience balancing legal risk and business objectives in fast-paced, high-growth environments.
- Experience advising on data protection and privacy laws (e.g., GDPR, CCPA), as well as security and compliance frameworks.
- Proven ability to partner with senior stakeholders, including sales leadership and executives.
- Exceptional drafting, negotiation, and communication skills.
- Ability to operate independently, manage a high-volume workload, and prioritize effectively in a remote, distributed environment.

- Competitive base salary with On-Target Earnings (OTE) of $222,779 – $275,355 USD annually.
