Job title: Corporate General Counsel

Location: Creedmoor, NC

Reports to: CEO / Board of Directors

Position summary

We are seeking an experienced, strategic, and pragmatic Corporate General Counsel to lead legal strategy for the company. The General Counsel will be the senior legal advisor to the CEO and executive team, manage in-house counsel and outside firms, and help the business grow while minimizing legal and regulatory risk. This role combines hands‑on transaction and regulatory work with board-level governance, compliance program leadership, and commercial deal support.

Key responsibilities

  • Legal leadership & strategy
  • Serve as primary legal advisor to the CEO, executive team and Board of Directors.
  • Develop and implement legal strategies that support business objectives and risk appetite.
  • Advise on corporate governance, Board processes, minute-taking, and regulatory

reporting.

  • Corporate transactions & commercial support
  • Lead and negotiate major commercial agreements, joint ventures, strategic partnerships, M&A, financing, IP licensing, and vendor contracts.
  • Oversee due diligence and integration for acquisitions and divestitures.
  • Compliance, risk & regulatory
  • Build and maintain enterprise-wide compliance programs (e.g., anti-corruption, data privacy, export controls).
  • Monitor regulatory developments relevant to the business and update policies and training.
  • Advise on data privacy and cybersecurity incidents, coordinate response with technical teams.
  • Litigation & dispute management
  • Oversee litigation strategy and manage external counsel for disputes, arbitration, and regulatory investigations.
  • Provide cost-effective case management and settlement recommendations.
  • Employment & HR support
  • Advise on employment law issues, executive compensation agreements, severances, and workforce policies.
  • Support management of sensitive internal investigations.
  • Team & vendor management
  • Build and lead an in-house legal team; recruit, mentor and develop legal staff.
  • Select, manage and control outside counsel relationships and budgets.
  • Policy, training & communications
  • Draft and implement corporate policies, employee handbooks, and training.

Communicate legal risk and mitigation options clearly to non-legal stakeholders.

Required qualifications

  • JD from an accredited law school and admission to at least one U.S. state bar.
  • 10+ years of legal experience, including substantial in-house counsel experience and/or law firm background advising corporate clients.
  • Proven experience advising C-suite executives and Boards.
  • Track record of managing complex commercial transactions, M&A activity, or leading corporate governance initiatives.

Preferred qualifications

  • Experience in industry — e.g., technology, healthcare/medical device, and manufacturing.
  • Experience managing a legal department and outside counsel budgets.
  • Familiarity with global regulatory regimes and cross-border transactions.
  • Advanced business acumen or MBA is a plus.
  • Core skills & competencies
  • Strategic thinking and practical commercial judgment — translates legal risk into business usable advice.
  • Strong negotiation and drafting skills for commercial contracts and transaction documents.
  • Regulatory and compliance knowledge relevant to the company’s industry.
  • Leadership and team building: ability to recruit, retain and develop legal talent.
  • Excellent verbal and written communication; comfortable briefing Boards and senior
  • management.
  • High integrity, sound judgment, and ability to handle confidential and sensitive matters.
  • Budget management and vendor (outside counsel) oversight.
  • Performance metrics (examples)
  • Timeliness and business satisfaction with legal deliverables
  • Legal spend vs. budget (inside/outside counsel).
  • Number and impact of material legal/regulatory incidents.
  • Successful completion and integration of M&A transactions.
  • Compliance program maturity and training completion rates.
