TMS Medical Director / Psychiatric Oversight Physician

Engagement Type: Independent Contractor

Practice: Transcend Functional Health, P.C.

Location: Colorado; Remote

Reports To: Practice Owner

Supervises: No employment-based supervisory authority; provides clinical oversight and consultative direction as defined by contract and applicable law

FLSA Status: Not applicable to an independent contractor relationship

Effective Date: As set forth in the governing agreement

Position Summary

Transcend Functional Health, P.C. seeks a Colorado-licensed, board-certified psychiatrist to serve as TMS Medical Director and psychiatric oversight physician for the Practice’s outpatient behavioral health and functional medicine operations. The contractor provides clinical oversight for Transcranial Magnetic Stimulation services, including protocol approval, medical necessity review, case oversight, quality assurance participation, and payer-compliant psychiatric involvement where required. The role is consultative, independent, and limited to the scope defined by contract, licensure, payer requirements, and applicable law. The role does not create an employment relationship, ownership interest, or general supervisory authority over independently licensed physicians beyond what is expressly required.

Essential Functions

The TMS Medical Director is expected to perform the following core functions, with or without reasonable accommodation where legally applicable:

Establish, review, and approve TMS clinical protocols consistent with applicable standards of care, payer requirements, and Colorado and federal law. Evaluate and confirm patient eligibility for TMS treatment, including treatment-resistant depression criteria where applicable. Authorize initial TMS treatment plans and provide periodic review of active TMS cases in accordance with clinical standards and payer requirements. Remain reasonably available during normal business hours for TMS-related consultation and psychiatric oversight questions. Participate in TMS-specific quality assurance and improvement activities, including chart review, documentation review, risk-based case selection, and corrective action planning when indicated. Exercise authority to suspend, modify, or discontinue TMS services when clinically or legally necessary to protect patient safety or maintain regulatory compliance. Ensure TMS ordering and approval processes are consistent with payer credentialing, supervision, and rendering-provider rules, and that claims are not submitted in a manner that misrepresents specialty, supervision, or provider identity. Review prescribing related to TMS protocols only to the extent required for clinical appropriateness, payer compliance, or regulatory requirements. This role does not assume general prescribing responsibility for other clinicians unless separately required by law or agreement. Provide consultative input for emergency escalation questions when available, while recognizing that emergency activation and transfer to higher-acuity care must not be delayed pending physician contact. Participate in periodic quality, compliance, and oversight meetings and maintain appropriate documentation of findings, reviewed cases, and recommended corrective actions. Promptly notify the Practice of any licensure issue, investigation, discipline, restriction, DEA action, loss of board certification, exclusion, or other adverse event that could affect the ability to perform the role.

Scope Limitations

To maintain legal and regulatory compliance, this role is subject to the following limitations:

The contractor serves as the recognized psychiatric specialist for TMS oversight and related psychiatric involvement required by payers, but is not automatically the rendering provider for non-TMS psychiatric services. The role does not authorize the contractor or the Practice to expand any clinician’s scope of practice beyond what is permitted by licensure and law. The role does not create a general employment-based supervisory relationship over independently licensed physicians. Physical on-site presence is not routinely required unless separately agreed in writing.

Required Qualifications

Candidates must satisfy all of the following minimum requirements:

Doctor of Medicine (MD) or Doctor of Osteopathic Medicine (DO)Active, unrestricted license to practice medicine in the State of ColoradoCurrent board certification in psychiatryActive DEA registration if controlled-substance authority will be exercisedGood standing with the Colorado Medical BoardDemonstrated competency in outpatient psychiatric practice and TMS oversightAbility to comply with HIPAA, HITECH, payer requirements, and applicable Colorado and federal laws governing medical practice, prescribing, supervision, and documentation

Preferred Qualifications

Prior experience serving as a medical director or psychiatric oversight physicianPrior TMS clinical leadership or protocol oversight experienceExperience with outpatient behavioral health quality assurance, chart review, and compliance remediationFamiliarity with commercial payer and CMS-related documentation and reimbursement integrity requirements for TMS services

Professional and Compliance Requirements

The contractor must, throughout the engagement:

Maintain all licenses, registrations, certifications, and continuing education required to perform the servicesMaintain professional liability insurance in commercially reasonable amountsUse independent professional judgment in all clinical mattersProtect patient privacy and confidential information in compliance with HIPAA, HITECH, and applicable Colorado privacy requirementsCooperate with quality assurance reviews, audits, and regulatory inquiries as required by law and contract

Relationship Classification

This position is structured as an independent contractor engagement. Nothing in this description creates an employment relationship, partnership, joint venture, equity interest, or entitlement to employee benefits. The contractor is responsible for personal taxes, licensure costs, professional requirements, and ordinary business expenses unless otherwise agreed in writing.

Compensation

Compensation shall be governed exclusively by the written agreement and any approved amendment or fee schedule. Based on the contract, compensation is structured as a flat monthly medical director fee tied to the number and status of providers under oversight, subject to the contractual fee cap and fair-market-value and regulatory compliance language.

Term and Termination

The engagement term, renewal structure, and termination rights are governed by the written agreement. The source agreement provides for a one-year term with automatic renewal unless terminated, termination without cause on 120 days’ written notice, and immediate termination in certain regulatory noncompliance circumstances if uncured.

Physical and Work Environment Expectations

This role is primarily professional, consultative, and administrative/clinical oversight in nature. It generally requires the ability to:

Review electronic health records and clinical documentationParticipate in phone, video, and electronic communicationsPerform chart review and compliance review activitiesMaintain reliable access to secure technology necessary for remote oversight, where applicable

No routine physical clinical presence is required unless separately agreed.
