You will serve as a key advisor to executive leadership and the board, ensuring regulatory compliance while enabling disciplined growth in a complex and evolving environment. The position blends strategic legal guidance with hands-on execution across SEC reporting, equity governance, and corporate structure management. You will play a critical role in translating regulatory requirements into practical, scalable processes that support operational efficiency. Working within a lean and high-impact legal team, you will contribute directly to public company readiness, disclosure integrity, and governance excellence. This is a high-ownership role suited for a lawyer who thrives in fast-paced, accountability-driven environments.

Accountabilities

In this role, you will oversee corporate governance, securities compliance, and entity management while supporting broader legal and operational initiatives within a publicly traded company. You will partner closely with senior leadership to ensure regulatory accuracy, board readiness, and strong disclosure practices across the organization.

  • Lead and support the preparation and review of SEC filings, including 10-K, 10-Q, 8-K, and proxy statements
  • Coordinate cross-functional inputs and assist in drafting disclosure language for periodic and current reports
  • Support board and committee processes, including preparation of materials, resolutions, minutes, and governance documentation
  • Maintain and enhance corporate governance frameworks aligned with NYSE listing and regulatory requirements
  • Manage insider trading compliance programs, including blackout periods and related training initiatives
  • Support equity plan governance and coordinate closely with Finance and HR on stock administration matters
  • Partner with leadership to strengthen disclosure controls, compliance processes, and reporting accuracy
  • Monitor legal and regulatory developments in securities law and public company governance
  • Oversee corporate entity management, including subsidiaries, intercompany matters, and corporate records
  • Contribute to scalable governance frameworks supporting growth and potential international expansion
  • Provide training and guidance to internal stakeholders on governance and compliance obligations
Requirements

This role requires a seasoned legal professional with strong expertise in corporate governance, securities law, and public company reporting. You should bring the ability to operate independently in a lean environment while managing complex regulatory obligations with precision and sound judgment.

  • Juris Doctor (JD) from an accredited law school with strong academic credentials
  • 6+ years of legal experience, with significant exposure to corporate governance and securities matters
  • Experience with public company reporting and board-level processes strongly preferred
  • Prior top-tier law firm experience is highly preferred
  • Strong understanding of SEC reporting requirements and corporate governance frameworks
  • Ability to manage multiple deadlines and competing priorities in a high-accountability environment
  • Excellent executive communication skills with the ability to simplify complex regulatory topics
  • Strong organizational discipline, attention to detail, and documentation rigor
  • Ability to operate effectively in a fast-moving, resource-constrained environment
  • Intellectual curiosity regarding capital markets, governance trends, and regulatory developments
  • Strong ownership mindset with a bias toward action and continuous improvement
