Lead Commercial Counsel

This position is posted by Jobgether on behalf of a partner company. We are currently looking for a Lead Commercial Counsel in the United States.

This role is a key legal leadership position responsible for driving all aspects of commercial contracting within a fast-moving, technology-driven environment. You will serve as the primary legal advisor to Sales, Customer Success, Security, and Procurement teams, ensuring contracts are structured to balance legal risk with business speed and efficiency. The role combines hands-on drafting and negotiation with strategic ownership of the contracting function, including process improvement and playbook development. You will also mentor and guide members of the legal and contracts team, helping elevate overall capability and consistency. Working closely with cross-functional stakeholders, you will shape scalable legal operations that support growth while maintaining strong compliance standards. This is a highly impactful position where legal expertise directly enables revenue generation and operational maturity.

Accountabilities:
  • Lead negotiation and drafting of a wide range of commercial agreements including MSAs, SOWs, order forms, renewals, amendments, DPAs, and SaaS/vendor contracts.
  • Own and continuously improve the contracts playbook by identifying gaps, refining fallback positions, and standardizing legal positions.
  • Partner with Sales, Security, Finance, and Procurement to balance risk management with deal velocity and business priorities.
  • Enhance the contracting function through improved people structures, workflows, and technology enablement.
  • Provide leadership, coaching, and guidance to members of the contracts and legal team.
  • Collaborate with outside counsel when needed and contribute to the evolution of the legal operating model.
  • Ensure contract processes are efficient, scalable, and aligned with business growth objectives.
Requirements:
  • 8+ years of experience in commercial contracting, ideally within B2B SaaS environments, with cybersecurity experience preferred.
  • Strong expertise in drafting, negotiating, and structuring complex commercial agreements.
  • Demonstrated ability to build or improve contract templates, playbooks, and legal processes.
  • Excellent business judgment with the ability to balance legal risk and commercial needs.
  • Strong written and verbal communication skills with the ability to influence stakeholders.
  • High attention to detail combined with strong prioritization and organizational skills.
  • Ability to operate with discretion, confidentiality, and professional integrity.
  • Active U.S. bar membership and Juris Doctor (JD) required.
