  • Advise on corporate and securities matters, including financings and strategic transactions
  • Support equity administration and cap table management
  • Drive complex legal projects from issue identification to resolution
  • Contribute across various legal areas, including regulatory and commercial matters
  • Manage corporate governance for the company and its subsidiaries
  • Provide legal guidance on employment law matters domestically and internationally
  • Develop and interpret corporate policies in collaboration with business leaders
  • Guide on legal implications of corporate changes like mergers and acquisitions
  • Assist with vendor and commercial contracts as needed
Requirements
  • 5+ years of experience in corporate and securities law
  • Active membership in a U.S. state bar, preferably California or New York
  • Strong knowledge of corporate governance, equity, and securities matters
  • Excellent legal judgment and problem-solving skills
  • Clear written and verbal communication skills
  • Proactive, self-directed approach with strong organizational skills
  • Ability to synthesize legal research into practical solutions
