- Advise on corporate and securities matters, including financings and strategic transactions
- Support equity administration and cap table management
- Drive complex legal projects from issue identification to resolution
- Contribute across various legal areas, including regulatory and commercial matters
- Manage corporate governance for the company and its subsidiaries
- Provide legal guidance on employment law matters domestically and internationally
- Develop and interpret corporate policies in collaboration with business leaders
- Guide on legal implications of corporate changes like mergers and acquisitions
- Assist with vendor and commercial contracts as needed
- 5+ years of experience in corporate and securities law
- Active membership in a U.S. state bar, preferably California or New York
- Strong knowledge of corporate governance, equity, and securities matters
- Excellent legal judgment and problem-solving skills
- Clear written and verbal communication skills
- Proactive, self-directed approach with strong organizational skills
- Ability to synthesize legal research into practical solutions
