CORPORATE COUNSEL

CLASSIFICATION: Year-round; Full-time

FLSA: Exempt

REPORTS TO: General Counsel LOCATION: Park City, Utah

TRAVEL: <5%

TOTAL COMPENSATION: $80k-$100k

SUMMARY / OBJECTIVE

U.S. Ski & Snowboard is seeking Corporate Counsel to support its General Counsel and Associate Counsel and Leadership Team in handling legal matters on behalf of the national governing body for Olympic and Paralympic skiing and snowboarding in the United States. We are seeking a self-motivated, organized team player, with a keen attention to detail and the ability to think dynamically. The small legal team works closely with all departments while also coordinating with external stakeholders including the Board of Directors and Committees.

ROLES & RESPONSIBILITIES

Basic Function

Contracts:Draft and/or review agreements and contracts executed by U.S. Ski & Snowboard, including independent contractor agreements, corporate sponsorship agreements, event hosting contracts, hotel agreements, vendor service agreements, and similar commercial agreements, as directed by Legal Team.Assist with athlete agreements and tracking.Policies and Procedures:Help manage the day-to-day legal activities of U.S. Ski & Snowboard, including guidance to staff and volunteers on proper procedures and responses to U.S. Ski & Snowboard membership.Provide guidance on policies and procedures and prepare drafts where appropriate.Corporate Governance:Work closely with the Legal Team to provide legal advice to U.S. Ski & Snowboard and related entities, and staff and volunteers, on a wide range of topics.Track and assess conflict of interest disclosures of board and key stakeholders.Manage committee charters, minutes, and procedures for committees of the Board.Assist with Board meeting management including scheduling, board book preparation, and presentation.Assist with rules and regulations, the Ted Stevens Olympic and Amateur Sports Act, requirements of the United States Olympic and Paralympic Committee, the U.S. Center for SafeSport, and FIS and work in conjunction with the Legal Team and other U.S. Ski & Snowboard staff to ensure consistent application and interpretation of all such governing documents.Assist with preparation of Visa applications with outside counsel.Work with U.S. Ski & Snowboard’s outside legal counsel on matters assigned.Business Operations and Risk ManagementRemain up to date on non-profit legal requirements to ensure U.S. Ski & Snowboard is operating accordingly.Assist with corporate filings including entity filings, charitable solicitations, and tax exemption.Work with the Legal Team in the areas of risk management and insurance renewal and applications.Assist various U.S. Ski & Snowboard departments in identifying potential risk issues and legal exposure to navigate a proper and efficient outcome.Support of Executive Leadership as needed.People LeadershipFoster a culture that encourages teamwork, open and constructive communication and a positive working environment.Demonstrate honesty, responsibility, integrity, and dedication in fulfillment of commitments. COMPETENCIES & EXPERIENCE

Education

    B.A. or B.S. degree from an accredited four-year U.S. college or universityJ.D. degree from an ABA accredited law schoolEligible to practice law in the state of Utah as a member of the bar or eligible to become licensed in Utah, including house counsel license.

Experience

    Preference for a minimum of one year of experience in the practice of law in a multi-practice or full-service law firm, or in a substantive legal role at a sports or membership-based organization. Recent graduates with relevant internship, externship, or clerkship experience will also be considered.Demonstrated experience in managing contracts and negotiations.Experience in a non-profit setting is preferred but not required.Experience with a sport’s governing body or other sports organization preferred but not required.

At-Will Employment. Employment with U.S. Ski & Snowboard is at-will, meaning that either the employee or U.S. Ski & Snowboard may terminate the employment relationship at any time, with or without cause, and with or without notice. Background Check. This position is contingent upon the successful completion of a pre-employment background check. Work Authorization. Candidates must be authorized to work in the United States. U.S. Ski & Snowboard participates in E-Verify and will provide the federal government with employees’ Form I-9 information to confirm work authorization. U.S. Ski & Snowboard will provide appropriate support for visa sponsorship where warranted for qualified candidates.

Physical Requirements & ADA. This position is primarily sedentary in nature and involves prolonged use of a computer and other standard office equipment. The role may require occasional lifting of up to 15 pounds and the ability to travel on an occasional basis. U.S. Ski & Snowboard is committed to compliance with the Americans with Disabilities Act.
