We are currently looking for a Legal Counsel, Commercial in the United States.This role offers the opportunity to provide strategic legal guidance and support across complex commercial transactions in a fast-paced, global environment. You will partner with internal stakeholders to manage contracting efforts throughout the deal lifecycle, ensuring compliance, mitigating risk, and enabling business growth. The Legal Counsel will negotiate and draft a wide range of agreements, develop scalable templates and playbooks, and provide pragmatic advice on commercial, data protection, and intellectual property matters. This role combines hands-on transactional work with process improvement, giving you visibility across enterprise and public sector contracts. Ideal candidates thrive in ambiguity, take ownership, and enjoy creating repeatable legal frameworks that drive operational efficiency and enable global expansion.Accountabilities:
  • Lead the negotiation and execution of commercial contracts, including SaaS subscriptions, MSAs, professional services agreements, subcontracts, teaming, and channel/reseller agreements
  • Partner with sales, finance, product, and security teams to align contracts with business objectives, compliance, and operational standards
  • Draft, review, and maintain legal templates, playbooks, and scalable contracting processes to accelerate deal velocity
  • Provide practical legal guidance on commercial, data privacy, and IP matters for both enterprise and public sector engagements
  • Support contract renewals, complex negotiations, and risk mitigation initiatives across direct and indirect sales models
  • Contribute to building and optimizing the in-house Legal function, establishing repeatable processes to support global operations
Requirements:
  • J.D. (or equivalent) and active U.S. bar membership in good standing
  • 5+ years of post-qualification experience in commercial law, ideally within software or technology sectors
  • Proven experience negotiating complex technology, professional services, and partner agreements
  • Strong commercial judgment, with the ability to balance legal risk and business objectives
  • Excellent drafting, negotiation, and communication skills, able to explain legal issues clearly to non-legal stakeholders
  • Experience building scalable legal processes and working independently in fast-paced, ambiguous environments
  • Comfort working remotely and collaborating across distributed teams
