Senior Counsel

This role sits at the center of a complex, multinational legal environment supporting a diversified portfolio of software, technology, and industrial businesses. It combines high-level strategic advisory work with hands-on execution across corporate transactions, governance, and compliance matters. You will play a key role in shaping and executing M&A deals, joint ventures, and restructuring initiatives while ensuring regulatory alignment across U.S. and international jurisdictions. The position also involves close partnership with executive leadership, finance, tax, and operations teams to support business growth and risk management. Operating in a fast-paced and highly collaborative setting, you will influence key decisions that drive long-term organizational value. This is a highly impactful role for an experienced corporate attorney who thrives in both strategic thinking and detailed transactional execution.

Accountabilities

In this role, you will serve as a senior legal advisor responsible for leading complex corporate transactions, ensuring governance compliance, and supporting strategic business initiatives across multiple jurisdictions.

  • Lead and execute M&A transactions, including due diligence, structuring, negotiation, documentation, and post-closing integration across domestic and cross-border deals.
  • Draft, review, and negotiate a wide range of corporate and commercial agreements, including M&A documentation, joint ventures, licensing agreements, financing documents, and service contracts.
  • Oversee corporate governance activities, including board resolutions, entity management, annual filings, and compliance with U.S. and Canadian corporate regulations.
  • Provide legal guidance on securities laws, antitrust/competition matters, CFIUS/HSR filings, and other regulatory frameworks affecting transactions.
  • Partner with internal stakeholders (finance, tax, HR, and operations) to align legal strategy with business objectives and transaction structures.
  • Manage and coordinate external counsel on specialized legal matters, ensuring efficient and consistent legal execution.
  • Develop templates, playbooks, and best practices to standardize legal processes and improve transactional efficiency.
Requirements

This position requires a highly experienced corporate attorney with deep expertise in transactional law, governance, and cross-border legal frameworks, ideally within a multinational environment.

  • 12+ years of experience in corporate law, including significant exposure to M&A, governance, and complex commercial transactions.
  • Strong background in drafting and negotiating high-value agreements such as purchase agreements, joint ventures, financing documents, and licensing contracts.
  • Deep understanding of Delaware corporate law and familiarity with Canadian corporate governance and regulatory filings.
  • Experience with cross-border transactions, regulatory compliance (including antitrust, CFIUS, and HSR), and entity management across multiple jurisdictions.
  • Strong analytical, drafting, negotiation, and problem-solving skills with exceptional attention to detail.
  • Ability to manage multiple high-priority matters in a fast-paced, deadline-driven environment.
  • Excellent communication skills and the ability to collaborate effectively with executives and cross-functional global teams.
  • Juris Doctor (JD) degree and active bar membership in good standing.
