This role offers a unique opportunity to serve as the key legal advisor within a high-growth, multinational healthcare technology organization. The Senior Corporate Counsel will provide strategic guidance to executive leadership, overseeing corporate governance, commercial contracting, compliance, and data privacy initiatives. You will shape business operations by mitigating legal risk, supporting revenue growth, and enabling organizational scalability. The position requires hands-on involvement in SaaS agreements, regulatory compliance, and employment matters while acting as a proactive business partner. This role is ideal for a seasoned attorney who thrives in a fast-paced, evolving environment and enjoys translating complex legal concepts into practical solutions. Collaboration with leadership across finance, sales, and operations is a core aspect of driving impact.
- Serve as primary legal counsel for the organization, advising executives and the Board on strategy, risk, and compliance
- Lead full lifecycle commercial contracting, including SaaS agreements, vendor contracts, NDAs, MSAs, and data privacy addendums
- Oversee HIPAA, GDPR, and other regulatory compliance programs, including audits, training, and policy development
- Guide employment, corporate governance, and internal policy matters across multiple jurisdictions
- Manage external counsel, litigation, and insurance relationships while controlling legal budgets
- Support M&A and corporate development initiatives, including due diligence and post-acquisition integration
- Promote legal excellence through training, internal controls, and fostering a compliance-focused culture
Requirements:
- J.D. from an accredited law school and active license to practice law in at least one U.S. state
- 10–15+ years of legal experience, preferably in SaaS, software, or healthcare technology
- Deep expertise in commercial contracting, SaaS subscription models, data privacy, HIPAA, GDPR, and healthcare compliance
- Strong employment law knowledge and experience advising on sensitive employee relations matters
- Excellent communication, analytical, and drafting skills with the ability to influence executive decision-making
- Experience with CLM/CRM systems (e.g., Salesforce, Ironclad) and proficiency in Microsoft Office
- Prior in-house experience as sole counsel or first in-house hire is highly preferred
