Director, Senior Corporate Counsel - Corporate Governance & Security

This senior legal leadership role is responsible for guiding all aspects of public company governance, securities compliance, and corporate disclosure obligations within a complex, fast-paced organization. The position plays a critical role in ensuring regulatory compliance, transparency, and strong governance practices across executive and Board-level decision-making. You will oversee SEC reporting processes, manage corporate governance frameworks, and support high-stakes disclosures that shape investor and market perception. The role partners closely with Finance, Investor Relations, Internal Audit, HR, and executive leadership to ensure accuracy and consistency across all external communications. It also provides direct advisory support to the Board of Directors and its committees on governance and regulatory matters. This is a highly visible position with significant impact on compliance integrity, corporate strategy, and long-term organizational trust.

Accountabilities:
  • Lead the preparation, review, and filing of all SEC reporting obligations, including Forms 10-K, 10-Q, 8-K, and proxy statements, ensuring accuracy and regulatory compliance.
  • Oversee securities law compliance, including Regulation FD, insider trading policies, Section 16 reporting, and NYSE listing standards adherence.
  • Review and support external disclosures such as earnings releases, investor communications, press statements, and presentations.
  • Advise the Board of Directors and its committees on governance matters, including meeting preparation, agendas, resolutions, and documentation.
  • Support corporate secretary functions, including governance policy development, committee charters, and internal control frameworks.
  • Oversee subsidiary and entity governance globally, ensuring proper maintenance, filings, and compliance across jurisdictions.
  • Collaborate with cross-functional teams including Finance, HR, Internal Audit, Investor Relations, and senior leadership on regulatory and governance initiatives.
  • Manage and develop a legal team, providing leadership, mentorship, and operational oversight.
  • Monitor evolving regulatory and securities law developments and assess their impact on company disclosure and compliance practices.
Requirements:
  • Juris Doctor (JD) degree and active license to practice law.
  • 8+ years of legal experience in a law firm, corporate legal department, or regulatory agency such as the SEC.
  • Strong expertise in securities law, corporate governance, and public company reporting requirements.
  • Proven experience managing SEC filings and complex disclosure processes.
  • Demonstrated ability to advise executive leadership and Board-level stakeholders.
  • Strong leadership skills with experience managing and developing legal teams.
  • Excellent written and verbal communication skills with strong attention to detail.
  • Ability to navigate complex regulatory environments and manage multiple priorities under tight deadlines.
  • Strong collaboration skills and ability to work effectively across cross-functional business units.
