About This Position

Position Title: Legal Contract Specialist

The Contract Specialist will support ACOGs General Counsels office of 4 attorneys and 2 professionals, which provides a broad range of legal support to the organization including: project management, issues triage, operations, advice, and negotiating and drafting contracts.

This person will report to the Deputy General Counsel and collaborate with the legal team to develop or retool contract management processes. The position requires drafting, negotiating and finalizing routine contracts for ACOG programs, including developing standard operating procedures and workflows for contract management. These activities are document-intensive, requiring attention to detail, sophisticated organizational processes, and continuously updated document creation and retention tools.

The Contract Specialist will have direct and regular contact with staff and leadership throughout the organization, as well as physician volunteers. You must have excellent interpersonal, verbal and written skills and the ability to work creatively, effectively, and respectfully with a broad range of people.

Note: This position is considered Hybrid and will need to commute to ACOG's office located in Washington, D.C.

Summary of Responsibilities:

  • Draft, negotiate and finalize a large volume of standard contracts for programs across the organization, including independent contractor agreements, speaker agreements, non-disclosure agreements and hotel contracts.
  • In conjunction with the Departments Legal Project Managers, plan for and implement the introduction of a new electronic contract management system in 2027.
  • Effectively manage low, moderate, and high-risk agreements.
  • Assist department leadership in the management of the Legal Departments contract process, ensuring that staff needs are met and organizational goals and objectives realized.
  • Implement CM process and develop and integrate new contract management tools, templates, methods, and processes.
  • Draft and support the negotiation of selected complex contracts related to major projects or programs.
  • Prepares or supports complex Requests for Proposals for high-value contracts.
  • Work closely with business owners throughout the organization to support their role in drafting appropriate statements of work and negotiating contracts.
  • Has a solid understanding of the business and financial implications of contract decisions and can advise business owners on the best course of action.
  • Identify risk and issues, suggest alternatives that lead to the best solution.
  • Conduct legal, policy, and factual research as needed and/or assigned.
  • Develop and implement improvements to the departments workflow, including systems for tracking contracts and keeping business leaders informed and on-track.
  • Act as the legal point of contact for the Finance Department and IT Departments with respect to their responsibilities to review and approve contracts.
  • Conduct educational sessions for ACOG staff concerning the contract process.
  • Assist in the preparation of reports on the contracts process and volume for executive review and other internal and external stakeholders.
  • Perform other duties as assigned.

Required Skills/Abilities:

  • Comfortable working cross-functionally and adapting quickly in a fast-paced, high-growth environment.
  • Ability to work independently, take initiative, manage multiple projects, exercise sound professional judgment, and meet deadlines.
  • Proficient with Microsoft Office Suite or other related software, research skills and familiarity or willingness to experiment with generative AI tools.

Education and Experience:

  • Bachelor's degree required.
  • 5+ years of relevant contract management experience as a lawyer, paralegal, and/or contracting specialist.
  • Law degree a strong plus; certification from National Contract Management Association or equivalent a plus.
Salary Range
$85,000—$95,000 USD
