Corporate Governance Paralegal

This role sits at the core of global corporate governance operations within a fast-growing, multi-jurisdictional financial services environment. You will be responsible for ensuring that a complex network of regulated entities remains fully compliant, well-documented, and effectively governed across multiple regions. Working closely with legal, finance, HR, and investor relations teams, you will support board operations, entity management, and statutory compliance activities. The position plays a key role in enabling scalable growth by maintaining strong governance foundations across international markets. It is ideal for a detail-oriented professional who thrives in structured yet fast-moving environments and enjoys working across global stakeholders. You will also contribute to improving governance processes and leveraging tools to enhance efficiency and accuracy.

Accountabilities:
  • Manage end-to-end company secretarial and corporate governance activities across multiple global entities, including incorporations, restructurings, capital changes, and dissolutions.
  • Prepare and coordinate board, committee, and shareholder meetings, including agendas, resolutions, minutes, and supporting documentation.
  • Maintain and update statutory records, governance registers, board materials, and corporate documentation to ensure accuracy and compliance.
  • Support equity-related administration, including options and RSU processes, in collaboration with People, Finance, and Corporate Development teams.
  • Ensure compliance with regulatory, licensing, and governance requirements across multiple jurisdictions, supporting best-practice corporate governance standards.
  • Liaise with external providers, regulators, auditors, and legal counsel to ensure timely filings and smooth governance operations.
  • Track follow-ups and action items from governance meetings to ensure accountability and execution.
Requirements
  • 5+ years of experience in corporate governance, company secretarial, or paralegal roles within financial services, fintech, or regulated industries.
  • Strong understanding of corporate governance principles, regulatory compliance, and directors’ duties across multiple jurisdictions.
  • Experience supporting multi-entity and multi-country corporate structures, including entity lifecycle management and statutory filings.
  • Excellent written and verbal communication skills, with the ability to prepare clear governance materials and engage senior stakeholders.
  • Strong organizational skills with the ability to manage competing priorities across time zones and complex workflows.
  • Familiarity with board management tools and entity management systems is a plus.
  • Professional company secretary qualification or equivalent experience is preferred but not mandatory.
