This role offers the opportunity to lead the end-to-end management of client-facing commercial contracts, ensuring alignment with business objectives while mitigating risk. You will oversee contract lifecycle processes, negotiate key agreements, and maintain compliance across internal policies and regulatory requirements. As a central point of contact for contract-related matters, you will collaborate with sales, operations, finance, and legal teams to enable smooth business operations. This position requires a strategic mindset combined with meticulous attention to detail and the ability to manage multiple priorities in a fast-paced environment. You will also contribute to corporate governance and transactional activities, providing visibility and guidance to stakeholders while fostering operational efficiency and risk awareness.
Manage the full lifecycle of commercial client contracts, including initiation, drafting, review, negotiation, execution, amendments, and renewals.
Maintain and optimize contract templates, clause libraries, and internal workflows to ensure compliance and operational efficiency.
Track key contract milestones, obligations, and performance metrics, keeping accurate records and reporting as needed.
Identify and mitigate potential legal, operational, and business risks in contracts.
Serve as a point of contact for internal stakeholders, providing guidance, training, and resources on contract standards and best practices.
Support corporate governance activities, including entity management, regulatory filings, and transactional documentation for mergers, acquisitions, and other corporate actions.
Requirements:
Bachelor’s degree in Business, Law, or a related field; JD preferred. Paralegal professionals with relevant certifications also considered.
5+ years of experience managing commercial client contracts in corporate or legal settings.
Proven expertise in negotiating service agreements, MSAs, SOWs, NDAs, and data protection agreements.
Strong understanding of contract law, indemnification, limitation of liability, IP provisions, and data privacy.
Excellent written and verbal communication skills, attention to detail, and organizational abilities.
Proactive, independent, and cross-functional collaborator with high integrity and professionalism.
Familiarity with contract management systems (e.g., ContractWorks, DocuSign CLM, Salesforce integrations) is a plus.
Industry experience in healthcare, technology, marketing, or B2B services is preferred.
