Accountabilities:

As a Senior Corporate Paralegal, you will:

  • Manage the full lifecycle of domestic and international subsidiaries, including formations, dissolutions, director and signatory changes, intercompany agreements, and foreign qualifications.
  • Support corporate governance by preparing board and committee meeting agendas, resolutions, written consents, minutes, and maintaining minute books and corporate seals.
  • Coordinate compliance filings and reports across jurisdictions, working with registered agents and local counsel to ensure adherence to best practices.
  • Lead due diligence and organize virtual data rooms for IPOs, financings, audits, and strategic transactions.
  • Support mergers, acquisitions, joint ventures, and other corporate deals, including drafting ancillary closing documents, managing checklists, and overseeing post-closing integration.
  • Assist with regulatory requests, KYC/UBO requirements, outside counsel management, invoice review, and general legal team support.
  • Identify opportunities to implement technology and process improvements to streamline workflows and enhance efficiency.
Requirements:

Candidates should bring:

  • Minimum of 10+ years of corporate paralegal experience in a top-tier law firm and/or in-house legal department.
  • Bachelor’s degree required; ABA-approved Paralegal Certificate preferred.
  • Proven experience supporting complex M&A and corporate transactions from LOI to closing.
  • Advanced proficiency in Google Workspace, DocuSign, and remote collaboration tools (e.g., Zoom).
  • Strong organizational skills, attention to detail, and ability to manage multiple priorities with precision.
  • Excellent written and verbal communication skills, capable of interacting with Board members and C-Suite executives.
  • Ability to handle confidential and sensitive information with discretion and integrity.
  • Self-starter mindset with the ability to work independently in a fast-paced, evolving environment.

Preferred Qualifications:

  • Demonstrated experience implementing process improvements and workflow optimizations.
  • Experience supporting IPO readiness or high-growth company environments.
  • Familiarity with global entity administration and cross-border compliance.
