You will work directly with executive leadership, guiding IPO readiness, M&A activities, and compliance processes. As a Senior Corporate Paralegal, you will:
- Manage the full lifecycle of domestic and international subsidiaries, including formations, dissolutions, director and signatory changes, intercompany agreements, and foreign qualifications.
- Support corporate governance by preparing board and committee meeting agendas, resolutions, written consents, minutes, and maintaining minute books and corporate seals.
- Coordinate compliance filings and reports across jurisdictions, working with registered agents and local counsel to ensure adherence to best practices.
- Lead due diligence and organize virtual data rooms for IPOs, financings, audits, and strategic transactions.
- Support mergers, acquisitions, joint ventures, and other corporate deals, including drafting ancillary closing documents, managing checklists, and overseeing post-closing integration.
- Assist with regulatory requests, KYC/UBO requirements, outside counsel management, invoice review, and general legal team support.
- Identify opportunities to implement technology and process improvements to streamline workflows and enhance efficiency.
Candidates should bring:
- Minimum of 10+ years of corporate paralegal experience in a top-tier law firm and/or in-house legal department.
- Bachelor’s degree required; ABA-approved Paralegal Certificate preferred.
- Proven experience supporting complex M&A and corporate transactions from LOI to closing.
- Advanced proficiency in Google Workspace, DocuSign, and remote collaboration tools (e.g., Zoom).
- Strong organizational skills, attention to detail, and ability to manage multiple priorities with precision.
- Excellent written and verbal communication skills, capable of interacting with Board members and C-Suite executives.
- Ability to handle confidential and sensitive information with discretion and integrity.
- Self-starter mindset with the ability to work independently in a fast-paced, evolving environment.
