This role is a key legal and compliance leadership position focused on strengthening and modernizing commercial contracting operations within a mission-driven, knowledge-focused organization. The Director will oversee contract review, drafting, negotiation, and compliance across a wide range of agreements, including SaaS, vendor, licensing, and services contracts. Acting as a trusted advisor to internal stakeholders, this professional will help identify and mitigate legal, regulatory, and operational risks while enabling efficient business execution. The role also plays a central part in advancing the use of AI and legal technology to streamline workflows and improve consistency across contract management processes. Working cross-functionally with multiple business units, the Director ensures alignment between legal standards and organizational objectives. This is a high-impact position that combines hands-on legal work with strategic process improvement and innovation in legal operations.

Accountabilities:
  • Lead the review, drafting, and negotiation of commercial contracts including SaaS, vendor, consulting, licensing, and services agreements, ensuring alignment with organizational and legal requirements.
  • Identify legal, regulatory, privacy, and operational risks, and provide practical, business-oriented solutions to support informed decision-making.
  • Support compliance initiatives related to data privacy, vendor management, and applicable regulatory frameworks, including GDPR-related and contractual obligations.
  • Maintain and enhance contract templates, clause libraries, and compliance documentation to ensure consistency and efficiency across legal processes.
  • Partner closely with cross-functional teams including HR, IT, Finance, Marketing, Publishing, and Operations to support business needs and contractual execution.
  • Coordinate with external counsel when necessary, optimizing legal support while managing cost and efficiency.
  • Leverage AI and legal technology tools to improve contract review, issue spotting, and workflow automation.
Requirements

This role requires a legally trained professional with strong experience in contract management and compliance within complex organizational environments. Candidates should have demonstrated ability to manage multiple priorities, engage with business stakeholders, and apply legal judgment in fast-paced settings. The ideal profile combines technical legal expertise with strong communication skills and a forward-thinking approach to legal technology.

  • JD degree with active bar membership in at least one U.S. jurisdiction, preferably New York.
  • 3–7 years of experience in contract review, commercial transactions, or compliance within a law firm or in-house environment.
  • Strong knowledge of SaaS, technology, or data-related agreements is highly preferred.
  • Proven ability to draft, review, and negotiate complex commercial contracts independently.
  • Strong understanding of legal risk identification, regulatory compliance, and data privacy principles.
  • Excellent written and verbal communication skills with the ability to translate legal concepts for non-legal stakeholders.
  • Experience or strong interest in AI, legal tech tools, and workflow optimization in legal operations.
  • Strong organizational skills with the ability to manage competing priorities and deadlines effectively.
