Corporate Counsel

This role offers the chance to provide hands-on legal guidance across a rapidly growing technology business serving both public and commercial sectors. You will advise on government contracting, commercial transactions, intellectual property, export controls, and regulatory compliance, while supporting cutting-edge aerospace and defense programs. The position allows you to work closely with executives and cross-functional teams to enable business growth while managing legal and regulatory risk. You will be a key contributor in a fast-paced, collaborative environment, shaping contracts, policies, and processes that directly impact national security missions and commercial innovation. The ideal candidate is pragmatic, highly organized, and capable of taking ownership of complex matters from start to finish.

Accountabilities:

As Corporate Counsel, you will oversee a wide range of legal responsibilities to support both domestic and international business operations. Core accountabilities include:

  • Negotiate, draft, and review commercial and government contracts, including technology development, manufacturing, SaaS, and professional services agreements.

  • Advise on compliance with Federal, State, and Local government contracting regulations, including FAR and DFARS.

  • Support proposal development, RFP responses, and subcontract management across defense and commercial programs.

  • Provide guidance on intellectual property, data rights, export controls (ITAR/EAR), and other regulatory frameworks.

  • Partner with cross-functional teams including sales, engineering, supply chain, and program management to balance business growth with legal risk.

  • Develop and maintain contract templates, playbooks, and training materials to streamline legal processes.

  • Act as a strategic legal advisor, offering practical solutions that enable business agility while maintaining compliance.

Requirements:

Successful candidates will have strong legal expertise, a background in government and commercial contracts, and the ability to operate independently. Required qualifications include:

  • Juris Doctor (J.D.) from an accredited U.S. law school and active bar membership in at least one U.S. jurisdiction.

  • Minimum of 7 years of relevant legal experience, with 5+ years focused on U.S. Federal and defense contracting.

  • Deep understanding of FAR, DFARS, and related procurement regulations.

  • Experience managing dual-use or mixed commercial and government contracts in aerospace, defense, or advanced technology sectors.

  • Proven track record negotiating complex agreements, including teaming, licensing, and manufacturing arrangements.

  • U.S. Person status required to handle export-controlled information.

Desired skills and experience:

  • Knowledge of export controls (ITAR/EAR) and supply chain compliance.

  • Familiarity with intellectual property, data rights, and regulatory frameworks affecting commercial and defense technology.

  • Ability to manage projects independently from start to finish.

  • Pragmatic, collaborative approach with excellent communication and judgment.

  • Enthusiasm for operating in a lean, fast-paced team environment.

  • Base salary range: $145,000 - $215,000 annually.
