This role offers a dynamic opportunity to provide strategic legal guidance across commercial operations in a fast-growing, technology-driven environment. The Commercial Counsel will be a key advisor for contract negotiation, compliance, and risk management, supporting a wide range of SaaS, software licensing, and vendor agreements. You will collaborate closely with cross-functional teams including sales, marketing, engineering, and finance, ensuring that legal considerations enable business growth while mitigating risk. The position combines high-impact legal work with operational responsibilities, including managing contracts, contributing to privacy initiatives, and supporting governance matters. Ideal for a proactive, detail-oriented legal professional, this role offers both autonomy and the chance to influence critical business outcomes.
- Serve as a primary legal point of contact for commercial and vendor contracts, including SaaS Master Services Agreements, software licenses, NDAs, consulting agreements, and vendor/service provider contracts.
- Draft, negotiate, and review complex commercial and technology agreements, ensuring alignment with business objectives and regulatory requirements.
- Advise leadership on legal risks, obligations, and compliance considerations related to contracts, business initiatives, and privacy requirements.
- Support contract administration processes, including intake, negotiation, signing, filing, and real-time tracking.
- Contribute to privacy, data protection, and compliance initiatives, helping to shape policies and best practices.
- Provide legal guidance to internal stakeholders across sales, marketing, engineering, finance, and operations, and manage outside counsel when necessary.
- Anticipate potential legal issues and proactively recommend solutions, training, or processes to mitigate risk.
- Juris Doctor (J.D.) degree and excellent academic credentials; member in good standing of a U.S. state bar association.
- 4–8 years of commercial transactional legal experience, preferably with in-house experience at high-growth technology or SaaS companies.
- Proven ability to draft, negotiate, and manage complex agreements, including software licensing, channel partner, reseller, procurement, and marketing agreements.
- Strong business judgment, strategic thinking, and the ability to balance legal risk with commercial objectives.
- Excellent drafting and negotiation skills, with comfort handling both legal and financial considerations.
- High integrity, attention to detail, and strong organizational skills with the ability to manage multiple priorities in a fast-paced environment.
- Experience with U.S. and global privacy laws (e.g., CCPA, GDPR) and data protection best practices is a plus.
- Collaborative, proactive, and flexible, with a positive personality and sense of humor to work effectively across a globally distributed team.
- Competitive base salary: $130,000–$195,000, plus bonus and equity (RSUs).
