Senior Corporate Paralegal - NY, NY

Who: A leading financial services company is seeking an experienced Senior Corporate Paralegal to support legal and compliance functions.

What: This role involves managing state insurance regulatory filings, U.S. legal entity governance, board meeting coordination, and M&A support.

When: Hiring immediately to enhance corporate governance and legal support.

Where: New York, NY (Hybrid, 1-2 days/week in-office, subject to change).

Salary: $115K - $150K base salary, plus comprehensive benefits and incentives.

Position Overview:

The Senior Corporate Paralegal will oversee U.S. entity management, regulatory filings, board meeting administration, and corporate governance support while collaborating with internal teams and external regulators.

Key Responsibilities:
  • Manage U.S. entity registrations, licenses, and annual reports.
  • Prepare insurance regulatory filings and liaise with state regulators.
  • Support financial reporting, independent auditors, and corporate governance initiatives.
  • Assist with M&A transactions, including NDAs, document preparation, and post-merger integration.
  • Coordinate U.S. Board of Directors meetings, including agenda preparation, resolutions, and minutes.
  • Maintain corporate records and implement governance best practices.
  • Provide support to investment management counsel and transactional matters.
Qualifications:
  • Bachelor’s Degree with 5-10 years of corporate legal experience.
  • Insurance/financial services industry experience preferred.
  • Strong knowledge of corporate governance and board administration (Diligent BoardBooks experience a plus).
  • Familiarity with relevant regulations and ability to conduct legal research.
  • Highly organized, detail-oriented, and proactive in project management.
  • Strong interpersonal and communication skills for cross-functional collaboration.
  • Ability to work independently and manage multiple priorities in a fast-paced environment.
