This role offers a high-impact opportunity to lead and manage complex capital markets transactions while providing strategic legal guidance across structured finance, debt finance, and liquidity arrangements. The Assistant General Counsel will collaborate with cross-functional teams, negotiate sophisticated agreements with institutional investors, and shape innovative deal structures that drive business growth. You will manage a team of attorneys, mentor senior colleagues, and influence internal processes to ensure operational efficiency and compliance. The position requires a balance of technical legal expertise, leadership, and strategic thinking, within a fast-paced, digitally-enabled environment. Ideal candidates are self-starters who thrive under complexity, enjoy problem-solving, and are motivated by meaningful financial and organizational impact.
Accountabilities:- Structure and execute securitization transactions, complex purchase and sale agreements, and other capital market arrangements.
- Review, draft, and negotiate transactional documents with institutional investors, including asset managers, hedge funds, and pension funds.
- Lead and influence cross-functional teams and external parties to drive deals to completion.
- Represent the legal function in high-level discussions with external counsel, auditors, regulators, and industry groups.
- Manage a team of attorneys, providing guidance, removing obstacles, and fostering professional growth.
- Develop internal training and guidance on legal risks and best practices.
Requirements:
- J.D. degree with strong academic credentials and active state bar membership.
- 12+ years of professional legal experience, combining large law firm and in-house roles, preferably in structured finance or debt finance.
- Proven experience drafting and negotiating sophisticated transactional documents.
- Strong leadership and team management skills, with experience managing senior legal professionals.
- Excellent communication skills, capable of providing clear, practical, and timely legal advice.
- Self-starter able to navigate fast-moving environments with competing priorities.
- Familiarity with fintech, lending, or credit markets is a plus.
- Membership in CA or NY Bar is preferred; experience developing scalable legal processes is advantageous.
