We are seeking a structured credit attorney to support the firm’s Residential and Asset-Based Lending (ABL) platform, with a focus on programmatic credit investing, warehouse financing, and securitization execution.

This role is embedded within the firm’s Structured Credit platform and will partner closely with investment professionals and senior legal team members across the full lifecycle of investments—from loan acquisition and forward flow arrangements to warehouse facilities and term securitizations. The attorney will participate in and take ownership of discrete transaction workstreams and gain exposure to a high volume of programmatic transactions, providing the opportunity to develop deep, practical expertise in structured credit within an execution-oriented investment environment.

Key Responsibilities

  • Support the firm’s structured credit investment activities across residential credit and ABL strategies, including review and analysis of transaction documentation and legal structures.
  • Assist in negotiating and documenting forward flow arrangements, loan purchase agreements, servicing agreements, and originator partnerships.
  • Support the structuring and execution of warehouse financing facilities, including analysis of credit agreements, collateral packages, advance rates, and borrowing base mechanics.
  • Assist with securitization transactions (e.g., RMBS and ABS), including review of offering materials and transaction documents such as pooling and servicing agreements, indentures, and related operative agreements.
  • Analyze legal and structural aspects of investments, including collateral composition, cash flow waterfalls, servicing dynamics, and structural protections.
  • Work with investment and asset management teams on servicer oversight, asset performance trends, and basic workout or restructuring scenarios.
  • Coordinate with outside counsel on transaction execution and manage legal workstreams to support efficient deal closing.
  • Collaborate with compliance, tax, and other internal stakeholders to ensure transactions align with applicable regulatory requirements, fund mandates, and investment guidelines.
  • Monitor developments in residential credit, specialty finance, and securitization markets, including evolving structures and market conventions.

Qualifications

  • J.D. from an accredited law school and membership in good standing in at least one U.S. state bar.
  • 3–8 years of relevant experience in structured finance, securitization, banking, or specialty finance, at a law firm or in-house.
  • Familiarity with loan-level investing, warehouse lending, and/or securitization structures is preferred.
  • Experience reviewing and negotiating transactional documentation, with the ability to identify key legal, structural, and documentation risks.
  • Strong analytical and organizational skills, with attention to detail.
  • Ability to work collaboratively in a fast-paced, deal-oriented environment.
  • Clear and effective communication skills, including the ability to translate complex structures into practical guidance for non-legal stakeholders.
  • Demonstrated interest in developing expertise in structured credit and asset-based finance.

Final offer amounts are determined by multiple factors including experience and expertise, and may vary from the amounts listed here.
